General Terms of Sale

1. Purpose

These General Terms of Sale (GTC) govern the provision of the DocuNest software (desktop application and command-line interface) and the sale of associated user licenses, concluded between Lorris Crappier, publisher of the Site (the "Seller") and any natural or legal person proceeding with a download or a purchase (the "Customer").

Any order implies unreserved acceptance of these GTC. They prevail over any other document, unless otherwise agreed in writing.

These GTC are made available to the Customer before the order, online at https://docunest.app/en/terms/. The Customer may view, print and save them at any time, in particular using the browser's features. The version applicable to an order is the one in force at the time of that order.

2. Product

DocuNest is a PDF and image tools software whose processing takes place locally on the Customer's computer. The Seller does not store the Customer's files and does not access them.

The software is offered notably for Windows 10 or higher, macOS 12 or higher, and Linux (deb, rpm, or AppImage formats depending on published versions).

3. Free Trial

A 7-day trial is offered without account creation and without entering a payment method. During the trial, all tools are accessible. At the end of the 7 days, the software stops functioning until a license is activated. The Customer's files remain on their machine and are unaffected.

4. Price

The price of the lifetime license is €30 incl. tax, payable in one go. There is no subscription. Software updates are included during the validity period of the license, at no extra cost, as long as the Seller publishes such updates.

The Seller reserves the right to change its prices for new orders. The price paid at the time of the order remains applicable to that order.

Orders are invoiced by Lemon Squeezy, a reseller of the Seller acting as merchant of record. In this capacity, Lemon Squeezy issues the invoice and determines, collects and remits the VAT applicable according to the Customer's country of residence or establishment (in particular under the EU OSS scheme). The price displayed at the time of order includes all applicable taxes.

5. Order and Payment

The purchase is made online from the Site. Payment is made via the provider Lemon Squeezy, acting as merchant of record for the order. The Seller does not have access to the Customer's full credit card number.

The order is considered firm after confirmation of payment. A receipt or confirmation email is sent when the provider permits. The license is then communicated or activated according to the process indicated during purchase.

6. User License

In return for payment of the price, the Seller grants the Customer a license to use the software:

• non-exclusive, personal, and non-transferable, except with the Seller's written consent;
• valid for one user;
• installable on this user's personal workstations (e.g., desktop and laptop computers);
• for an indefinite period ("lifetime"), subject to compliance with these GTC;
• for use conforming to the documentation, including via the CLI.

The Customer acquires no ownership rights over the software. It is forbidden to resell, rent, sublicense, or make the software available to a third party as a service, without written authorization.

The software may integrate third-party components, which remain subject to their respective licenses.

7. Delivery

The software is a digital good provided by download. "Delivery" occurs as soon as the Customer can download the installer and/or activate the license. No physical media is shipped.

8. Right of Withdrawal and Refunds

In accordance with consumer law, the consumer Customer in principle has a period of 14 days to withdraw from a distance contract. For digital content provided on an intangible medium, this right may be lost if the Customer expressly consents to immediate execution and acknowledges losing their right of withdrawal.

Regardless of this framework, the Seller grants a full refund for 30 days from purchase if the product is not suitable, without having to justify a reason. The request is made to contact@docunest.app, indicating the order ID. The refund is made via the same payment method, unless otherwise agreed, within legal deadlines.

9. Warranty and Support

The Customer benefits from the legal warranties of conformity and hidden defects, under the conditions of the consumer code and civil code, where these apply.

Support tied to the lifetime license is priority support, reasonably provided by email to contact@docunest.app. The Seller does not guarantee a contractual response time or uninterrupted software operation on all hardware configurations.

10. Liability

The Customer is solely responsible for their files, backups, and their use of the software. The Seller cannot be held liable for data loss resulting from the use of the software, a Customer hardware incident, or an interruption of the Site.

The Seller's liability, except where prohibited by law (notably fraud, gross negligence, or bodily injury), is limited to the amount paid by the Customer for the license concerned.

11. Personal Data

Data collected for an order (for example, email and billing data processed by Lemon Squeezy, merchant of record) are collected solely to execute the contract and legal obligations. Details are in the privacy policy.

12. Applicable Law and Disputes

These GTC are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action. The consumer Customer may also use a consumer mediator free of charge, in accordance with Article L.612-1 of the Consumer Code. The contact details of the designated mediator will be indicated on this page upon confirmation, and communicated upon request to contact@docunest.app.

Failing an agreement, the competent courts are those provided for by the applicable procedural rules, including consumer protection provisions.
